Welcome to SK-Medical Inc. (“we”, “us”, “our”, “the Shop”). These Terms of Service (“Terms”) govern your access to and use of our website, mobile app, platform, or other online services (collectively, the “Platform”), and any purchases you make through the Platform. By using the Platform or placing an order, you agree to these Terms (and any policies we link to herein). If you do not agree, please do not use the Platform or place any orders.

1. Definitions & Interpretation

  • “You”, “your”, “Customer”, or “User” means a natural or juridical person who uses the Platform or purchases goods or services from us.
  • “Goods” means tangible items sold through the Platform.
  • “Services” means any digital services or intangible products sold through the Platform.
  • “Transaction” or “Order” means your purchase of Goods or Services via the Platform.
  • “Content” means any text, images, graphics, videos, or other materials made available on the Platform.

2. Scope & Applicability

  1. These Terms apply to all visitors, users, customers, and others who access the Platform or make transactions through it.
  2. We reserve the right (at our discretion) to refuse service to anyone for any reason.
  3. These Terms, along with our Privacy Policy, Refund / Return Policy, and other policies or guidelines we post, constitute the entire agreement between you and us.
  4. If any provision is held invalid or unenforceable, that provision will be struck out and the rest will remain valid.

3. Registration, Account & Eligibility

  1. By using the Platform, you represent that you have the legal capacity to enter into a contract under Philippine law.
  2. You agree to provide accurate, current, and complete information when creating an account or placing an order, and to maintain it regularly.
  3. You are responsible for all activities under your account. Keep your password secure and notify us immediately of any unauthorized use.
  4. We may suspend or terminate your account if we suspect misuse or false information.

4. Ordering & Payment

  1. All orders are subject to acceptance by us. We may refuse or cancel orders for reasons such as stock unavailability, pricing errors, or fraud suspicion.
  2. Prices are stated at checkout and may include or exclude VAT, as indicated.
  3. Payment must be made using the available methods (e.g., credit card, e-wallet, bank transfer). You agree to pay all applicable fees and taxes.
  4. If we cannot fulfil your order, we will offer a substitute, credit, or refund.
  5. We may delay or cancel processing for verification or security reasons.

5. Shipping, Delivery & Risk

  1. Orders will be delivered to the address you specify. You must ensure all delivery information is correct.
  2. Risk of loss or damage passes to you upon delivery by the courier.
  3. Delivery dates are estimates only; delays may occur beyond our control (e.g., courier or weather issues).
  4. In case of non-delivery, notify us within seven (7) days after the estimated delivery date.
  5. Ownership remains with us until full payment is received.

6. Returns, Refunds & Cancellation

  1. Returns and cancellations are accepted only under our Return Policy or where required by law.
  2. Approved returns will be refunded via the original payment method or store credit, less applicable fees.
  3. Digital or downloadable products may not be cancellable or refundable once accessed.
  4. We reserve the right to refuse returns that do not comply with our policy or appear to abuse the return privilege.

7. Content, Intellectual Property & Usage

  1. All content on this Platform (text, logos, images, software, etc.) is owned or licensed by us and protected by law.
  2. You may view and use our content for personal, noncommercial purposes only.
  3. You may not copy, reproduce, distribute, or exploit content without prior written consent.
  4. By submitting reviews or photos, you grant us a non-exclusive, royalty-free, worldwide license to use them in marketing or promotion.

8. Disclaimer & Limitation of Liability

  1. The Platform and products are provided “as is” and “as available” without warranties of any kind, except as required by law.
  2. We disclaim all implied warranties including merchantability, fitness for a particular purpose, and noninfringement.
  3. We are not liable for any indirect, incidental, or consequential damages, even if we have been advised of their possibility.
  4. Our total liability to you shall not exceed the total amount paid for your order.

9. Indemnification

You agree to indemnify and hold harmless SK-Medical Inc., its officers, employees, and partners from all claims, damages, or expenses (including legal fees) arising from your breach of these Terms or misuse of our Platform.

10. Privacy & Data Protection

  1. Your personal data is governed by our Privacy Policy and the Data Privacy Act of 2012 (RA 10173).
  2. By using our Platform, you consent to our collection, processing, and storage of your data as described in our policy.
  3. We take reasonable measures to protect your personal information from unauthorized access or disclosure.

11. Dispute Resolution, Governing Law & Venue

  1. These Terms are governed by the laws of the Republic of the Philippines.
  2. We encourage amicable settlement of disputes. If unresolved, cases may be submitted to arbitration or courts in TAGUIG City.
  3. You may also bring complaints to the Department of Trade and Industry (DTI) or the National Privacy Commission (NPC) as appropriate.

12. Changes to Terms

  1. We may update these Terms periodically by posting a revised version with a new effective date.
  2. Continued use of our Platform constitutes acceptance of the updated Terms.

13. Miscellaneous

  • Force Majeure: We are not liable for delays or failures due to events beyond our control.
  • Severability: If any provision is invalid, the rest remains in full force.
  • Assignment: We may assign our rights to another entity; you may not assign yours without consent.
  • Notices: We may contact you via email or the Platform. Notices to us must be sent to our official contact details.

14. Compliance with Philippine Law

  • Transactions comply with the Electronic Commerce Act of 2000 (RA 8792) and the Internet Transactions Act of 2023 (RA 11967).
  • Consumer rights are protected under the Consumer Act of the Philippines (RA 7394).
  • We are duly registered and comply with BIR, SEC, and NPC regulations.
